General Terms and Conditions of Business and Delivery

All deliveries and sticker installations are carried out on the basis of the following general terms and conditions of business and delivery. After receipt of an order, the seller may withdraw from the contract within 10 days without stating reasons. Any claims for compensation are excluded. Delivery dates specified by the buyer are not binding for the seller unless the requested delivery date has been expressly confirmed in writing by the seller.

The execution of a delivery order by the seller does not constitute acceptance of a delivery date specified by the buyer. The conclusion of fixed-date transactions requires the seller’s explicit written confirmation in every case.

Prices

Unless otherwise agreed, all prices are ex works Prien.

Shipping

Shipping is always at the buyer’s expense and risk. Unless otherwise agreed, shipment is carried out at our discretion by post, rail, express service, or freight carrier. Additional costs for express or expedited shipments are borne by the recipient.

Transport Insurance

Only provided upon the customer’s explicit request and at their expense.

Delivery

The seller will endeavor to ensure timely delivery. Force majeure, operational disruptions, delays in supply chains, import processing delays, as well as disruptions caused by strikes or lockouts release the seller from delivery obligations. Claims for damages due to delayed delivery are excluded unless caused by intent or gross negligence on our part.

Liability

No liability is assumed for the application or specific use of any products sold by us. Such liability cannot be derived from any information material, instructions for use, correspondence, or customer support advice provided by us. The buyer remains fully responsible for verifying whether our products are suitable for the intended purpose.

Disclaimer of Liability

for paraglider, hang glider, and balloon lettering. The contractor excludes all liability for damages (personal injury and property damage) that may arise from any change in flight behavior as a result of the lettering. The client is obliged to have the airworthiness of the aircraft checked after the lettering has been applied.

Copyright

By placing an order, the client confirms that they hold the copyright or all necessary usage rights for reproduction of any materials provided or commissioned. The client indemnifies GH Werbebeschriftungen Gerald Helbig against all claims and covers any costs arising from third parties asserting copyright or exclusive usage rights.

Complaints

Complaints must be reported within 10 days of receipt of the goods, prior to use or further processing, stating the exact defect; otherwise, the goods are deemed accepted without objection. In the case of justified complaints, the seller reserves the right to decide whether to grant a price reduction or provide a replacement free of charge upon return of the goods. In no case shall the seller’s liability exceed the value of the defective goods. Liability for any injuries, losses, or damages—whether direct, indirect, or otherwise—is excluded. The buyer must verify the suitability of the products for the intended use prior to application. The seller cannot guarantee suitability for specific purposes, as they have no control over the manufacture, use, or subsequent processing of the goods. Returns are only accepted with prior written agreement. The seller’s obligations are limited exclusively to those stated herein and replace all other statutory or implied warranties or guarantees.

Payment

The first three deliveries are generally made on a prepayment basis. Regular customers may be granted a payment term of 14 days. In the event of default, interest on arrears of at least 2% above the German Bundesbank discount rate will be charged. Payments must be made exclusively to our company. If the buyer’s financial situation deteriorates, we are entitled to demand payment before the agreed due date and/or withhold outstanding deliveries or withdraw from the contract. Contractual payment deadlines must be met even if complaints are raised.

Retention of Title

The goods remain our property until full payment of the purchase price and all outstanding claims from the business relationship have been settled. The buyer is not entitled to pledge or transfer ownership as security. Any seizure by third parties must be reported to us immediately. The buyer is only entitled to resell the goods in the ordinary course of business.

Contract Amendments

By placing an order, our terms and conditions are deemed fully accepted. Deviations from these terms or any conditions imposed by the buyer require our explicit written confirmation to be valid.

Place of performance is Prien.

Jurisdiction

The place of jurisdiction is Rosenheim, provided the buyer is a registered merchant.

Severability clause

Should any of the above provisions be wholly or partially invalid, this shall not affect the validity of the remaining provisions.
